1. will sell to 3. the undertakings of the Oystermouth Railway or Tramroad and the Mumbles Railway and Pier, all rolling stock, plant and equipment, stores and material used for the undertaking, and cash in hand or at the bank and all debts owing to 1. in respect of the undertaking
